Effective Date: 2 September 2025
These terms are between ORS Australia Holdings Pty Ltd trading as OceanRoad Swimwear (“OceanRoad Swimwear”, “we”, “us”) and you (“Affiliate”).
1. Eligibility
- You must be at least 18 years old.
- You can be an individual, content creator, business, or organisation aligned with OceanRoad Swimwear’s values: confidence, inclusion, and empowering women.
2. Joining the Program
- Complete our affiliate application form and wait for approval.
- Once approved, you’ll receive an email with your unique referral link and your affiliate dashboard access.
3. Promoting OceanRoad Swimwear
- Affiliates may promote via social media, blogs, email, or other approved channels.
- Content must always:
- Use OceanRoad Swimwear correctly.
- Be honest, clear, and not misleading.
- Comply with Australian consumer and privacy laws.
- Include disclosure that commissions may be earned.
- Affiliates must not:
- Bid on or use the OceanRoad Swimwear name, trademarks, or confusingly similar terms in paid search or online advertising without written permission.
- Misrepresent themselves or the brand.
- Use unapproved promotional materials.
- Content Usage Rights: By participating, you grant OceanRoad Swimwear a non-exclusive, royalty-free license to use, repost, or share any content you create promoting our brand on our website, social media, or marketing materials. We will credit you where possible.
4. Commissions & Payment
- Commission: A percentage of eligible sales made through your affiliate link, excluding shipping and tax. Payouts are provided as store credit, unless otherwise determined.
- Last Click Attribution: The affiliate whose link was last clicked before a sale will be credited with the commission.
- Payment Schedule: Store credit is issued monthly and after the 45-day return period, to allow for refunds or cancellations, and once your balance reaches the minimum payout threshold.
- Minimum Payout: Currently $10 in earned credit, but this may change in future.
- Cookie Tracking: 60 days from click; commissions are earned only on sales made within this period.
- Refunds: Refunds, cancellations, or fraudulent orders void the commission.
- Tax & ABN: You are responsible for reporting and paying any applicable taxes. Please check whether you need an ABN, as OceanRoad Swimwear is unable to provide tax advice..
5. Termination or Inactivity
- We can end or pause your membership if there’s no activity (like clicks or sales) for 3 months. We will send a reminder before doing so.
- We may also terminate immediately for misconduct, fraud, or misuse of the brand.
- You may terminate anytime. Commissions earned up to termination will be paid unless misconduct occurs.
6. Confidentiality
- Affiliates must keep commission rates, payout methods, and program details confidential.
- Affiliates may not share these details publicly or with third parties without OceanRoad Swimwear’s written consent.
7. Liability & Conduct
- Affiliates are independent, not employees.
- Affiliates are responsible for their own actions, content, and compliance.
- OceanRoad Swimwear is not liable for indirect or consequential losses.
8. Program Updates
- OceanRoad Swimwear may update commission rates, payout methods (including store credit, cash, or other rewards), or program structure at any time. Continued participation indicates acceptance of any changes.
9. Governing Law
- These terms are governed by the laws of Queensland, Australia.
